| Initial public offer of up to 24,613,024 equity shares of face value Rs.10 each "(equity shares") of Endurance Technologies Ltd ("company "or" issuer") for cash at a price of Rs 472 per equity share including a share premium of Rs 462 per equity equity share, aggregating up to Rs 1161.73 crores, consisting of an offer for sale up to 19,295,968 equity shares by Actis Components & System Investment Ltd ("Actis") and up to 5,317,056 equity shares by Mr. Anurang Jain ("promoter selling shareholder") (colletively, the "selling shareholders") (The "offer for sale" or the offer").
