| Public issue of upto 1,63,000 equity shares of a face value of Rs. 10.00 each (the "equity shares") of Humming Bird Education Limited ("the company" or "hbel" or "the issuer") for cash at a price of Rs. 132.00 per equity share (including a share premium of Rs. 122.00 per equity share) ("issue price") aggregating to Rs. 2.15 Crores ("the issue") of which upto 9,000 equity shares at an issue price of Rs. 132.00 per equity share aggregating to Rs. 0.12 Crores will be reserved for subscription by market maker ("market maker reservation portion"). The issue less the market maker reservation portion i.e. issue of upto 1,54,000 equity shares of face value of Rs. 10.00 each at an issue price of Rs. 132.00 per equity share aggregating to Rs. 2.03 Crores is hereinafter referred to as the "net issue". The issue and the net issue will constitute 26.59% and 25.12%, respectively of the post issue paid up equity share capital of the company.
