| Initial public offering of 31,200,000* equity shares of face value of Rs. 10 each ("Equity Shares") of Vishnu Prakash R Punglia Limited ("The Company" or the "Company") for cash at a price of Rs. 99 per equity share (including a premium of Rs. 89 per equity share) ("Issue Price") aggregating to Rs.308.61* crores ("The Issue").
This issue includes a reservation of 300,000* equity shares aggregating to
Rs. 2.70* crores (constituting 0.24% of the post-issue paid-up equity share capital of the company for subscription by eligible employees (the "Employee Reservation Portion"). The company in consultation with the brlms, offered a discount of 9.09% (equivalent of Rs. 9 per equity share) of the issue price to eligible employees bidding in the employee reservation portion ("Employee Discount"). The issue less the employee reservation portion is hereinafter referred to as the "Net Issue". The issue and the net issue constitute 25.03% and 24.79%, respectively of the post-issue paid-up equity share capital of the company.
